Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Energy Efficiency Initiative ("we," "us," or "our"), concerning your access to and use of the www.energyefficiencyinitiative.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We reserve the right to terminate your use of the Site for violating any of the prohibited uses.

User Responsibilities and Conduct

Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person
Impersonate any person, or misrepresent your identity or affiliation with any person or organization
Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising
Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case

Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Energy Efficiency Initiative, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trademarks

The Energy Efficiency Initiative name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Energy Efficiency Initiative or its affiliates or licensors. You must not use such marks without the prior written permission of the Energy Efficiency Initiative. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

Limited License

Subject to your compliance with these Terms and Conditions, the Energy Efficiency Initiative grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use.

Restrictions

You may not:

Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as permitted by these Terms and Conditions
Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site
Access or use for any commercial purposes any part of the Site or any services or materials available through the Site

Limitation of Liability

To the fullest extent permitted by applicable law, the Energy Efficiency Initiative and its directors, officers, employees, agents, subsidiaries, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Site
Any conduct or content of any third party on the Site
Any content obtained from the Site
Unauthorized access, use, or alteration of your transmissions or content

Whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Disclaimer of Warranties

The Site is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, the Energy Efficiency Initiative disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

Any errors or defects will be corrected
The Site is free of viruses or other harmful components
The results of using the Site will meet your requirements

Indemnification

You agree to defend, indemnify, and hold harmless the Energy Efficiency Initiative, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms and Conditions, or your use of any information obtained from the Site.

Termination

We may terminate or suspend your access to all or part of the Site, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law or is harmful to the interests of another user, a third-party, or us.

Upon termination, your right to use the Site will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site.

All provisions of these Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of, or related to, these Terms and Conditions or the Site shall be instituted exclusively in the courts of the United Kingdom. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Changes to Terms and Conditions

We may revise and update these Terms and Conditions from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter.
